Candidate Profile

• Postgraduate / master degree in business law;
• Minimum of 8 years of experience as transactional counsel in the energy or infrastructures sector, internationally (law firm or industrial company);
• Negotiation skills ; capacity to focus on key issues
• Language skills required: English and French as working languages

Activities

Being part of the OFW legal team, your responsibilities will include :

Legal support to the offshore wind projects developed Worldwide :

• Drafting and negotiation of the related contracts (pre-contracts, shareholder agreements, joint venture agreements, share purchase agreements, power purchase agreement, construction contracts, land rights agreements, operation and maintenance contracts, etc.) and following-up on projects' construction and operation
• Conducting legal studies and monitoring regulatory risks
• Managing and coordinating corporate matters (incorporation of companies, corporate housekeeping, shareholders / board of directors resolutions, shareholder loans, etc.)
• Interacting with the internal and external parties associated with the operations and transactions (including M&A and project financing)
• Hiring and managing external lawyers and monitoring legal fees
• Supervising of junior legal counsels and trainees

Legal tools and policies :

• Support to internal approval process (internal committees)
• Ensure compliance with TotalEnergies SE corporate and legal policies;
• developing cooperation within the business segment (GRP) and with other segments (Procurement, HQ) of TotalEnergies SE;
• Contributing to the legal reporting;
• Contributing to the development of appropriate know-how and tools for supporting the activity (templates, guidelines, etc.) and training to operational teams;
• Implementing a culture of compliance with laws and integrity;

Litigations and claims:

• providing legal support for litigations and/or claim management in relation to the offshore wind projects
